The unsecured loan, carrying a 9.00% annual interest rate and a one-year term, qualifies as a material related-party transaction due to its significant size relative to the company’s low annual consolidated turnover of Rs 1.81 Lakhs. Mr. Chopperla is recusing himself from the vote, and the company states the interest rate is competitive and the transaction is in the company’s interest, adhering to Securities and Exchange Board of India (SEBI) regulations with detailed disclosures including a debt-to-equity ratio of 0.15:1.
