Tribhovandas Bhimji Zaveri Limited announced that its promoters and members of the promoter’s group have entered into a share purchase agreement with GRT Jewellers, a jewelry retail group based in Chennai, to sell their entire stake in the company, a transaction subject to regulatory approval and other conditions. The company also declared a dividend of Rs 2.50 per equity share of Rs 10 each for the financial year ended March 31, 2026, at its 19th Annual General Meeting held on September 9, 2026.

Tribhovandas Bhimji Zaveri Limited announced that members of its promoter group, including Mr. Shrikant Gopaldas Zaveri, Mrs. Bindu Shrikant Zaveri, Mrs. Binaisha Shrikant Zaveri, Mrs. Raashi Shrikant Zaveri, Tribhovandas Bhimji Zaveri (TBZ) Private Limited, and Tribhovandas Bhimji Zaveri Jewellers (Mumbai) Private Limited, have entered into a share purchase agreement with GRT Jewellers (India) Private Limited to sell 4,94,59,775 equity shares, representing 74.12% of the company`s total issued and paid-up equity share capital, at a price not exceeding Rs 209 per share. Upon completion of the transaction on August 31, 2026, GRT Jewellers (India) Private Limited will acquire sole control of Tribhovandas Bhimji Zaveri Limited, and the sellers will be de-classified from the category of promoter/promoter group members, triggering a mandatory open offer to eligible public shareholders.

Tribhovandas Bhimji Zaveri will hold a meeting of the Board of Directors of the Company on 11 August 2026.

Tribhovandas Bhimji Zaveri announced that the Board of Directors of the Company at its meeting held on 27 May 2026, inter alia, have recommended the final dividend of Rs 2.5 per equity Share (i.e. 25%) , subject to the approval of the shareholders.

Net profit of Tribhovandas Bhimji Zaveri rose 612.75% to Rs 67.64 crore in the quarter ended March 2026 as against Rs 9.49 crore during the previous quarter ended March 2025. Sales rose 56.89% to Rs 829.66 crore in the quarter ended March 2026 as against Rs 528.83 crore during the previous quarter ended March 2025.For the full year,net profit rose 195.82% to Rs 202.31 crore in the year ended March 2026 as against Rs 68.39 crore during the previous year ended March 2025. Sales rose 22.25% to Rs 3202.82 crore in the year ended March 2026 as against Rs 2619.86 crore during the previous year ended March 2025.
