Magellanic Cloud announced that Ravi Janarthanan (DIN: 02368598), Additional Non-Executive, Non-Independent Director of the Company, has tendered his resignation from the Board of Directors of the Company with effect from 03 June 2026.

Magellanic Cloud announced that its wholly owned subsidiary, Provigil Surveillance has received a Letter of Acceptance (LOA) from South Western Railway, Hubli Division, for an aggregate contract value of Rs 4.31 crore approx. The project pertains to the �Provision of CCTV at 75 Non-Interlocked Manned Level Crossing Gates over Hubli Division.� The scope of work includes supply, installation, testing and commissioning of CCTV / Video Surveillance Systems, networking and telecom infrastructure, integration of monitoring systems, power backup arrangements, solar power systems, computer vision-based gate monitoring solutions and other ancillary infrastructure required for the project. This LOA further strengthens the Company`s position in the railway surveillance and safety infrastructure segment. With cumulative railway sector orders now exceeding Rs 250 crore, the Company continues to expand its footprint across key railway zones and divisions nationwide.

Net profit of Magellanic Cloud rose 32.06% to Rs 29.49 crore in the quarter ended March 2026 as against Rs 22.33 crore during the previous quarter ended March 2025. Sales rose 31.47% to Rs 205.55 crore in the quarter ended March 2026 as against Rs 156.35 crore during the previous quarter ended March 2025.For the full year,net profit rose 11.24% to Rs 114.23 crore in the year ended March 2026 as against Rs 102.69 crore during the previous year ended March 2025. Sales rose 16.85% to Rs 697.88 crore in the year ended March 2026 as against Rs 597.24 crore during the previous year ended March 2025. Magellanic Cloud will hold a meeting of the Board of Directors of the Company on 26 May 2026.

Magellanic Cloud and Rayonix Tech has jointly incorporated a Special Purpose Vehicle (SPV) in the name of MCRAY XTEND INDIA (MCRAY). The SPV has been incorporated in furtherance of the Strategic Investment and Collaboration Agreement executed between the Company and Rayonix Tech for carrying out activities relating to unmanned aerial vehicle (UAV) technology, defence technology solutions, manufacturing, deployment, and other allied business operations. The Company will acquire 60% shareholding in Mcray Xtend India through subscription to its paid-up equity share capital and consequently, MCRAY will become a subsidiary of the Company. The incorporation of the SPV and the proposed investment are aligned with the Company`s strategic expansion plans in the UAV and defence technology sector and are expected to strengthen its participation in indigenous technology development initiatives in India.
