Sanofi Healthcare India Private Limited acquired 3,500,000 equity shares, representing 15.20% of the equity share capital, from Hoechst GmbH on September 24, 2026, through a block deal mechanism. The acquisition, an inter-se transfer among promoter and promoter group members of Sanofi India Limited, maintains the aggregate holding of the promoter group unchanged. Sanofi Healthcare India Private Limited was exempted from making an open offer under Regulation 10(1)(a)(iii) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, and previously disclosed the transaction on September 17, 2026.

Sanofi India Limited will close its trading window from October 1, 2026, until 48 hours after the announcement of its unaudited financial results for the quarter and nine months ending September 30, 2026, in compliance with SEBI (Prohibition of Insider Trading) Regulations, 2015.
