VRL Logistics Limited informed the BSE and NSE that it has freezed its ISIN INE366I01010 in respect of equity shares held by promoters and the promoter group, as part of its ongoing buyback of up to 87,50,000 fully paid-up equity shares at a price of Rs 320 per share, with the freeze effective from October 4, 2026, until the completion of the buyback process.

VRL Logistics Limited informed the Bombay Stock Exchange and National Stock Exchange of India that the trading window for dealing in securities of the company will be closed from October 1, 2026, until 48 hours from the date of declaration of financial results for the quarter and half year ended September 30, 2026, in compliance with the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015.

The board of VRL Logistics at its meeting held on 04 August 2026 has approved the proposal to buyback up to 87.50 lakh equity shares at a price of Rs 320 per share (buyback price) payable in cash for an aggregate amount of Rs 280 crore (buyback size) representing 24.51% of the aggregate of fully paid up equity share capital and free reserves of the company.

VRL Logistics will hold a meeting of the Board of Directors of the Company on 4 August 2026.
