Rekvina Laboratories Limited is acquiring 100% of Radiant Parenterals Limited through a share swap, issuing 46,27,750 new equity shares at Rs 10 per share, valued at a total consideration of Rs 4,62,77,500. Simultaneously, Rekvina is conducting a preferential allotment of 4,60,000 new equity shares to Amitkumar Arunkumar Rao and Amitkumar Arunkumar Rao HUF for Rs 46,00,000 in cash, priced at Rs 10 per share including a Rs 5 premium. The acquisition, deemed an arm`s length transaction, is expected to complete within 15 days of regulatory approvals, including in-principle exchange approval and a special resolution. The moves are intended to expand Rekvina’s market presence and create shareholder value, although they will result in dilution of existing shareholders’ ownership.

Rekvina Labs will hold a meeting of the Board of Directors of the Company on 13 August 2026.
