Royal Cushion Vinyl Products Limited informed the BSE that the Scheme of Arrangement between Royal Cushion Vinyl Products Limited and Royal Spinwell and Developers Private Limited, and their respective shareholders and creditors, has become effective with an effective date of August 30, 2026, following the filing of the National Company Law Tribunal, Mumbai Bench’s order with the Registrar of Companies, Maharashtra, Mumbai; the scheme’s appointed date is October 1, 2021.

Royal Cushion Vinyl Products Limited will hold a board meeting on September 1, 2026, to consider, among other items, the date, time, and venue for its 42nd Annual General Meeting scheduled for September 29, 2026, and to approve the draft Directors’ Report. The board will also consider the proposed issue and allotment of 41,17,160 listed equity shares and 84,99,592 unlisted non-convertible redeemable preference shares to the members of Royal Spinwell and Developers Private Limited, as part of a merger scheme sanctioned by the National Company Law Tribunal, Mumbai Bench, on July 28, 2026.

Royal Cushion Vinyl Products will hold a meeting of the Board of Directors of the Company on 13 August 2026.
