IIRM Holdings India Limited announced the allotment of 29,98,385 equity shares of its wholly owned subsidiary, IIRM Global Shared Services Private Limited, to IIRM Holdings India Limited, following the conversion of an existing unsecured loan of Rs 34.78 crore. The shares were issued at a price of Rs 116 per share, comprising a face value of Rs 5 and a securities premium of Rs 111, effectively reducing the outstanding loan and increasing the company`s investment in IIRM Global, which continues to operate as a wholly owned subsidiary.

IIRM Holdings India Limited announced that its wholly owned subsidiary, IIRM Global Shared Services Private Limited, will convert an outstanding unsecured loan of Rs 34.78 crore into 29,98,385 fully paid-up equity shares, with an issue price of Rs 116 per share, following a scheme of amalgamation where Sampada Business Solutions Limited was merged into IIRM Holdings on July 22, 2025. The conversion, based on a valuation report and conducted at arm’s length, is intended to strengthen IIRM Global’s capital base and improve its debt-equity position.

IIRM Holdings India will hold a meeting of the Board of Directors of the Company on 14 August 2026.
