Brahm Virat Industries Corporation Limited, formerly known as Virat Industries Limited, announced that the Registrar of Companies, Ministry of Corporate Affairs, has approved the change of its name to Brahm Virat Industries Corporation Limited, effective September 15, 2026. The company disclosed the change in a filing to the BSE Limited on September 15, 2026, following prior member approval on August 6, 2026.

Virat Industries Limited plans to invest up to Rs 95 crore, approximately $11.5 million USD, in Brham Well-Being & LifeStyle Corporation Private Limited through a preferential issue of equity shares. The investment, priced at Rs 27 per share, will result in Virat Industries owning approximately 70.28% of Brham Well-Being, granting a controlling interest. The transaction qualifies as a Material Related Party Transaction due to the significant stake held in Brham Well-Being by Brahm Precision Materials Private Limited, a promoter group company of Virat Industries. Funds from the investment will be used for growth, expansion, and technology development within Brham Well-Being’s lifestyle ecosystem. The transaction requires shareholder approval and extensive disclosures, including valuation and due diligence reports dated August 13 and August 11, 2026, respectively, to ensure transparency and compliance with Securities and Exchange Board of India regulations.

Virat Industries Ltd. will close its Register of Members and Share Transfer Books from Friday, September 25, 2026, to Thursday, October 1, 2026, for an Extraordinary General Meeting (“EGM”), according to a filing with the BSE Limited. The record date for the EGM is Thursday, September 24, 2026, and the scrip code is 530521 for equity shares.

Virat Industries Limited announced that its board of directors approved a notice convening an Extraordinary General Meeting of its members to be held on Thursday, October 1, 2026, to seek approval for a proposed transaction, according to a regulatory filing with the BSE Limited on September 1, 2026.
