Majestic Research Services and Solutions Limited announced that Parth Shaileshbhai Patel, Rashmikaben S Patel, Alpesh Amrutlal Patel, Nitin Dahyabhai Patel, and Jalak Shaileshbhai Patel have collectively acquired 3,92,350 equity shares of face value Rs 10 each in the company on a preferential basis, pursuant to an approved resolution plan and an order from the National Company Law Tribunal, Bengaluru Bench, dated June 20, 2025. The acquisition, priced at Rs 10 per share, is exempt under Regulation 10(1)(da) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, resulting in the promoters/acquirers holding a total of 3,92,350 shares, representing 95.00% of the company`s diluted share capital.

Majestic Research Services and Solutions Limited informed the BSE Limited that the trading window for dealing in the company`s securities will be closed from Thursday, October 1, 2026, for directors, promoters, members of the promoter group, connected persons, designated persons, and their immediate relatives, in compliance with SEBI regulations and the company’s code of conduct, ahead of the consideration of unaudited financial results for the quarter ending September 30, 2026; the trading window will reopen 48 hours after the results are declared.

Majestic Research Services and Solutions Limited informed the BSE Limited that its board of directors approved a proposal to apply to the Registrar of Companies, Karnataka, seeking a three-month extension, up to December 31, 2026, for holding the Annual General Meeting for the financial year ended March 31, 2026, citing reasons including the implementation of a Resolution Plan under Section 31 of the Insolvency and Bankruptcy Code, 2016, approved by the NCLT, and pending capital reduction/restructuring corporate actions.
