One MobiKwik Systems Limited has completed the slump sale of its lending Services Provider Business to MobiKwik Distribution Services Private Limited, a wholly owned subsidiary, effective August 18, 2026, as previously announced on May 22, 2026, June 02, 2026, and July 02, 2026. The consideration for the sale will be discharged through the issuance of Non-Convertible Debentures by MobiKwik Distribution Services Private Limited to One MobiKwik Systems Limited, based on the book value of assets and liabilities of the lending services business as of August 18, 2026.

One Mobikwik Systems will hold a meeting of the Board of Directors of the Company on 3 August 2026.

One MobiKwik Systems has allotted 16,655 equity shares under ESOP on 17 June 2026. Consequent to the allotment, the paid up equity share capital has increased to Rs 15,74,93,834 consisting of 7,87,46,917 equity shares having face value of Rs 2/- each
