Manomay Tex India Limited informed the Bombay Stock Exchange and National Stock Exchange that its register of members and share transfer books will be closed from September 23, 2026, to September 29, 2026, for the company`s 17th Annual General Meeting to be held on September 29, 2026, at 1:00 P.M. (IST) in Bhilwara, Rajasthan, with September 22, 2026, designated as the record date for determining member eligibility for voting.

Manomay Tex India Limited announced the appointment of three additional independent directors – Manishkumar Balkrishna Porwal, Satya Narayan Maheshwari, and Mahendra Singh Rana – effective September 2, 2026, pending shareholder approval at the Annual General Meeting. Porwal, a chartered accountant with 25 years in the textile industry, is the brother of current director Dilip Balkrishna Porwal. Maheshwari, formerly with State Bank of India, and Rana, previously with SBI General Insurance, bring extensive experience to the board. Additionally, Maheshchandra Kailashchandra Laddha was re-appointed as an independent director; he has familial ties to several other board members, including the Managing Director and Whole Time Directors. The changes are compliant with BSE and NSE circulars and require shareholder ratification.

Manomay Tex India Limited will hold a board meeting on August 31, 2026, to consider the re-appointment of Mr. Maheshchandra Kailashchandra Laddha as Whole-time Director for three years, effective August 9, 2027, to August 8, 2030, and the appointment of Mr. Manishkumar Balkrishna Porwal, Mr. Satya Narayan Maheshwari, and Mr. Mahendra Singh Rana as Independent Directors for five years, effective September 2, 2026, to September 1, 2031.
