Suresh, executed an unattested pledge agreement dated September 21, 2026, with Authum Investment & Infrastructure Limited, pledging shares held by them as security for credit facilities of Rs 111 crore availed by the promoters in their personal capacity; Authum Investment & Infrastructure Limited holds 10.8% of Veranda Learning Solutions Limited`s paid-up equity share capital and is considered a related party.

Veranda Learning Solutions Limited announced the allotment of 1,55,763 equity shares to Goodday Enterprises LLP, a non-promoter, following the conversion of an equal number of warrants, for a total consideration of Rs 4,99,99,923. The shares were allotted at an issue price of Rs 321 per share, including a premium of Rs 311 per share, and the company`s paid-up share capital increased from 9,63,50,847 equity shares to 9,65,06,610 equity shares.

Profit before tax (PBT) of Veranda Learning Solutions Ltd stood at Rs 30.42 crore in Q2 FY26, expanding by 306.68% year-on-year, and surging by 28.08% quarter-on-quarter. EBITDA came in at Rs 50 crore, rallying 250.91% YoY and jumping 26.51% sequentially. Total expenses went up by 11.76% to Rs 112.02 crore in Q2FY26 over Q2FY25. During the quarter, employee benefits expense was at Rs 17.18 crore, witnessing a strong rise of 23.51% YoY. For the TTM ended FY26, revenue from operations jumped by 34.60% to Rs 481.51 crore, while net profit tanked by 160.29% to Rs 128.86 crore, compared to previous TTM. EBITDA tumbled by 10588% to Rs 129.48 crore, and PBT collapsed by 173.41% to Rs 152.64 crore compared to previous TTM. The company`s consolidated net cash flow from operating activities stood at Rs 105.75 crore in FY26, as against Rs 31.65 crore in FY25. Veranda Learning Solutions Ltd rallied 9.24% in last one year, significantly outperforming the benchmark BSE Sensex which has slipped by 2.83% during the same period.
