Virtuoso Optoelectronics Limited is issuing 3,66,43,176 shares through a preferential allotment to ICICI Prudential SmallCap Fund, ICICI Prudential Retirement Fund- Hybrid Aggressive Plan, Clarus Capital II, and individual investors Sukrit Bharati, Nikitha Poddatur, and Sukrit Bharati HUF, with 7,02,246 warrants also being issued. The allotment, approved by shareholders at an Extraordinary General Meeting on July 12, 2026, and by the Board of Directors on August 29, 2026, is being conducted in compliance with the Securities and Exchange Board of India (Issue of Debt Securities) Regulations, 2018. The company and its directors are not listed as willful defaulters, fraudulent borrowers, or fugitive economic offenders, and the allottees have not recently sold shares. The new shares will rank pari passu with existing shares and will be listed on the relevant stock exchange, subject to a lock-in period as per SEBI regulations.

Virtuoso Optoelectronics Limited announced the allotment of 16,85,392 equity shares and 7,02,246 unlisted fully convertible warrants on a preferential basis to Malabar India Fund Limited, India Insight Value Fund, Sukrit Bharati, Sukrit Bharati HUF, and Nikitha Poddatur. The equity shares were allotted at a price of Rs 356 per share, including a premium of Rs 346, while the warrants were also priced at Rs 356 per warrant, including a premium of Rs 346. Virtuoso Optoelectronics Ltd share price climbed 5.37% to Rs 518.25 after the company`s net profit saw a strong growth of 103.37% to Rs 9.05 crore, while revenue from operations edged up 18.65% to Rs 375.88 crore in Q2FY26 over Q1FY26. The market capitalization of Diversified consumer products industry group stocks on BSE stood at Rs 1506.52 crore, rising by 13.30%. It has inched up 1.80% over last one week and jumped by 34.76% in last one month while the market capitalization of Virtuoso Optoelectronics Ltd has improved by 2.42% and 56.88% in the same period respectively. Profit before tax (PBT) of Virtuoso Optoelectronics Ltd stood at Rs 13.01 crore in Q2 FY26, expanding by 45.85% year-on-year, and surging by 132.32% quarter-on-quarter. EBITDA came in at Rs 34 crore, jumping 74.01% YoY and rallying 18.01% sequentially. Total expenses rose by 16.81% to Rs 351.65 crore in Q2FY26 over Q2FY25. For the TTM ended FY26, revenue from operations surged 31.62% to Rs 698.98 crore, while net profit surged by 20.75% to Rs 12.28 crore, compared to previous TTM. EBITDA witnessed a strong improvement of 4230% to Rs 51.6 crore, and PBT witnessed a strong rise of 61.52% to Rs 23.21 crore compared to previous TTM. The company`s consolidated net cash flow from operating activities stood at Rs 36.07 crore in FY26, as against Rs 13.75 crore in FY25. Virtuoso Optoelectronics Ltd gained 4.78% in last one year, significantly outperforming the benchmark BSE Sensex which has softened by 2.83% during the same period.
