VIKRAN ENGINEERING LIMITED informed the BSE Limited and National Stock Exchange of India that its members approved alterations to the company’s Memorandum of Association and Articles of Association at the 18th Annual General Meeting held on September 11, 2026, including the insertion of Clause 3(A)(I)(b) to enable the company to build, establish, maintain, operate, lease or transfer projects comprising substations, transmission lines, renewable energy, data centers, telecom infrastructure, smart metering and water infrastructure, and Clause 3(A)(I)(c) to allow the company to generate, distribute, supply, transmit, purchase, sell and deal in conventional and non-conventional energy resources. The alterations also include the insertion of Clause 137(e) in the Articles of Association, enabling the appointment of a Nominee Director by the Debenture Trustee.

Vikran Engineering Limited announced the allotment of Rs 3.50 crore in Tranche II and Rs 6 crore in Tranche III of secured, unrated, unlisted, redeemable, taxable, non-convertible debentures on August 3rd and August 7th, 2026, respectively, following approvals from the company’s Corporate Affairs Committee. The debentures, which carry a fixed coupon rate of 11.40% per annum and are to be repaid over 12 months and 5 days, are backed by a subservient charge over the company`s current assets.

Vikran Engineering will hold a meeting of the Board of Directors of the Company on 11 August 2026.

Vikran Engineering has secured a new order aggregating approximately Rs 120.69 crore exclusive of GST from Power Grid Corporation of India (POWERGRID) for the 400 kV GIS Substation Package SS-147. The order, awarded through Domestic Competitive Bidding, reinforces the Company`s position as a preferred EPC partner to India`s central transmission utility and adds a marquee project to its growing order book. The scope of work covers the design, engineering, manufacture, testing, supply, erection and commissioning of Gas Insulated Switchgear (GIS) equipment for augmentation of transformation capacity at three strategically important POWERGRID substations - the 400/220 kV Magarwada GIS Substation in Dadra & Nagar Haveli, the 765/400/220 kV Vadodara GIS Substation in Gujarat, and the 400/220 kV Rajgarh Substation in Madhya Pradesh. The project entails Construction of 400/220kV GIS bays and allied works, to be executed under two integrated contracts covering supply of Goods and Services.The augmentation of transformation capacity at these key nodes is expected to strengthen the inter regional power transmission network, enhance grid reliability and improve power evacuation capability across Gujarat, Madhya Pradesh and the Union Territory of Dadra & Nagar Haveli and Daman & Diu. By reinforcing critical transformation infrastructure at these substations, the project will support the rising power demand from industrial and commercial growth in the region, while strengthening the resilience and future-readiness of India`s National Grid.

Vikran Engineering announced that the Company has redeemed 30 (Thirty) Unsecured, Rated, Unlisted, Redeemable, Non Convertible Debentures (ISIN: INE01R507041) aggregating to Rs 15 crore on 24 July 2026 in accordance with the terms of issue.
