Manoj Ceramic Ltd. approved the variation of rights for 1,00,000 and 1,50,000 15% Non-Cumulative Non-Convertible Redeemable Preference Shares to 15% Compulsory Convertible Preference Shares, respectively, convertible into equity shares with a face value of Rs 10 each at a price of Rs 100 each, including a premium of Rs 90. The company will seek shareholder approval for the issuance at an Extraordinary General Meeting on October 15, 2026, and has appointed Rawal & Co. as the scrutinizer.

Manoj Ceramic Ltd. will hold a board meeting on Wednesday, September 16, 2026, to consider and approve a variation in the terms of its 15% Non-Cumulative Redeemable Preference Shares into 15% Compulsory Convertible Preference Shares and the subsequent allotment of equity shares, as per applicable laws and regulations, including the Companies Act, 2013 and the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018.

Manoj Ceramic will hold a meeting of the Board of Directors of the Company on 25 May 2026.

Manoj Ceramic has allotted 1,00,000 equity shares on conversion of warrants on 22 April 2026. With this allotment, the paid up equity share capital has increased to Rs. 13,80,70,000/- consisting of 1,38,07,000 fully paid-up equity shares of Rs. 10/- each.
