Resourceful Automobile Limited is issuing 300,000 warrants to Managing Director Rahul Sawhney as part of a capital-raising initiative. The allotment, which requires shareholder approval via a special resolution, will increase Sawhney’s shareholding from 12,11,947 shares (45.63%) to 15,11,947 shares (51.15%), resulting in dilution for existing shareholders. The warrants, convertible into one equity share each, have an 18-month conversion period. The company confirms compliance with SEBI’s ICDR Regulations and states that the allotment will not trigger a change in control or designate any party as a wilful defaulter. Newly issued shares will be listed on the Bombay Stock Exchange, and the company maintains the required minimum public shareholding of 25%.
