Anlon Healthcare is undertaking a share swap with Apiqo Organics Private Limited (AOPL) and Bizotic Lifescience Private Limited (BLPL) through a preferential allotment of equity shares, potentially issuing up to 8,58,83,617 shares at a price of Rs 17.85 per share. The swap ratio is 1 share of Anlon for 14.45 shares of AOPL, involving up to 160 shareholders and approximately 20,34,43,043 shares, while the ratio for BLPL is 1 share of Anlon for 8.96 shares, impacting up to 173 shareholders and roughly 22,99,000 shares. AOPL and BLPL operate within the pharmaceutical/organic and pharmaceutical/lifescience sectors, respectively, and both companies reported a turnover of Rs 380.39 crore in 2023-24, Rs 3,038.20 crore in 2024-25, and Rs 3,126.64 crore in 2025-26. The share swap will significantly increase the number of outstanding Anlon Healthcare shares, diluting existing shareholder ownership, and the final number of shares issued will depend on acceptance rates from shareholders of AOPL and BLPL.
