Rays of Belief Limited informed the National Stock Exchange of India Limited and BSE Limited that the trading window for dealing in the company`s securities will be closed from Thursday, October 01, 2026, until 48 hours after the declaration of the un-audited financial results for the quarter and half year ended September 30, 2026.

Rays of Belief Limited will hold a board meeting on September 28, 2026, to consider and approve the unaudited financial results for the quarter ended June 30, 2026, and trading window will remain closed until September 30, 2026, as previously announced on September 10, 2026.

Rays of Belief Limited announced that its wholly owned subsidiary, Mom’s Belief US Inc., has acquired 100% of the equity shareholding of City Pro Group Inc. for a cash consideration of USD 2,000,000, effective September 18, 2026. City Pro Group Inc., incorporated in 1995 and based in New York, is a provider of pediatric early intervention and school-based special education services, with a turnover of USD 1,14,32,394.52 for the year ended June 30, 2025, and the acquisition is intended to strengthen Rays of Belief’s presence in the United States.

Rays of Belief Limited announced a further investment of USD 2,000,000 (approximately Rs 19.19 crore) in its wholly owned subsidiary, Mom’s Belief US Inc., through a right issue, according to a filing on September 17, 2026. Mom’s Belief US Inc. was incorporated on April 4, 2025, and reported a turnover of USD 38,25,615 as of March 31, 2026, and operates in the healthcare industry, specializing in allergy and immunology. The transaction, which is considered a related party transaction at arm’s length, will enable Rays of Belief Limited to leverage the subsidiary’s capabilities and explore opportunities for specialized healthcare services.

Rays of Belief Limited will close its trading window for all designated persons and their immediate relatives from September 10, 2026, until 48 hours after the declaration of the un-audited standalone and consolidated financial results for the quarter ended June 30, 2026, in compliance with the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015.
